The 2028 wall

Debt is $2.00B at carrying value, held in one set of term loans due Aug 31, 2028. Of $1,999M of principal, $1,969M falls due in 2028, against $215M of cash [1].

The loans pay SOFR plus a margin. Swaps fix $846M of principal at 2.55% to 3.91% through December 2026, and they expire after that [1][6].
On Oct 14, Alight disclosed confidential talks with lenders about refinancing or extending its credit agreement. No agreement was reached, and Alight said it has chosen not to actively pursue one.
It posted the materials shared with lenders through Dec 31, 2026 [2].
Those materials were prepared from information available between April and June 2026, and Alight reaffirmed its 2026 outlook in the same filing [2].
The TRA and owner cash
Under the tax receivable agreement, Alight pays TRA holders 85% of certain tax savings. The liability is $463M, with $443M long-term and $20M current [3].
The current portion was $156M at Dec 31, 2025. Payments of $136M in the first half ran through financing, outside operating cash flow, and the trailing twelve months also total $136M [1][5]. Alight disputes the TRA representative's methodology for the 2026 payment, and the dispute is in process [3].

Stock pay is 5.38% of operating cash flow. The capex line is not split between property and capitalized software, and capitalized software was $520M on the Dec 31, 2025 balance sheet [1][5].
