Autodesk Owns the Design File Agents Must Edit. Owners Kept $2.13B, Then It Borrowed $2B to Buy MaintainX
Autodesk holds the drawings and models the built world runs on and paid owners $2.13B after stock pay over the last year, but a debt-funded $3.58B deal and fading billing tailwinds test how much of that cash is the run rate.
- Owner cash after all capex and stock pay
- $2.13B
- Stock pay as a share of operating cash flow
- 24%
- Price paid for MaintainX, all cash
- $3.58B

1. Our call and what this piece answers
Our call: Hold off. Autodesk owns the files the built world runs on: AutoCAD drawings, Revit building models, Civil 3D road and site plans, Inventor and Fusion parts, and the cloud project records in Autodesk Construction Cloud.
When a building, a bridge or a machine is designed, the design almost always lives in one of these formats, and any agent that wants to change that design has to work inside it. Owners are paid.
Owner cash, meaning operating cash flow of $2,896M less $57M of capital spending, less $706M of stock pay, was $2,133M for the twelve months ended Jul 31, 2026, our calculation [2][16]. Stock pay took 24% of operating cash flow.
The open questions sit elsewhere. In May the company agreed to pay $3.58B in cash for MaintainX, a maintenance and work-order software company expected to pass $135M of annualized recurring revenue in calendar 2026, and it borrowed $2.0B to close the deal [6][7][9][10].
A sales reorganization cut about 1,000 jobs, mostly in customer-facing sales [12]. And the move from upfront to annual billing on multi-year contracts has flattered cash and billings growth over the last two years in ways that will fade [1]
2. Rating metrics
| Metric | Value |
|---|---|
| R&D share of revenue | 22.8%, research and development expense of $1,643M on $7,206M of revenue, fiscal 2026 [1]. Over the twelve months ended Jul 31, 2026 it was $1,721M, 22.1% of revenue, our calculation [2][16] |
| GAAP net margin | 15.6%, net income of $1,124M on $7,206M of revenue, fiscal 2026 [1]. Twelve months ended Jul 31, 2026: $1,642M, 21.1%, our calculation [2][16]. Fiscal 2026 carried $197M of restructuring charges; the recent margin is the cleaner figure |
| API quality | 4 of 5, our scoring: Autodesk Platform Services offers documented REST APIs with self-serve developer keys, published pricing and rate limits, SDKs in several languages with a changelog, and an app store of third-party add-ins [1][17]. The 10-K says Model Context Protocol servers are being integrated, so we hold back the agent-ready point until they are generally available [1] |
| Toll-gate score | 2 of 4 pass, 2 partial (section 2b) |
2b. Thesis and the toll-gate test
Autodesk sells design and make software in four families: Architecture, Engineering, Construction and Operations, which made $1,029M of the second quarter's $2,046M revenue; AutoCAD and AutoCAD LT, $500M; Manufacturing, $385M; and Media and Entertainment, $92M [3]. Customers buy through individual subscriptions, Industry Collections, enterprise agreements that grant token-based access to a pool of products, and Flex, a pay-as-you-go option where customers pre-buy tokens and spend them by the day [2].
The bet management describes is a single platform that carries data from design through construction to operations, with superintelligence models trained on 3D geometry that reason about shapes and physical relationships rather than text [1][4]. MaintainX extends the record into the years an asset is actually run and repaired, which the company says moves its relationship with an asset from years to decades [7].
| Test | Result | Evidence |
|---|---|---|
| Owns the record | Pass | The design file itself is the record: drawings, building models, part models and project data stored in Autodesk formats and in Autodesk's cloud [1]. MaintainX adds asset history, inspections and work orders from the field [7]. |
| Owns the connection | Partial | Autodesk Platform Services exposes the data to outside developers, and the company is adding Model Context Protocol servers so outside agent tools can act on it [1][17]. But agents can also generate geometry in other tools and export to open formats, and the 10-K names competitors across every segment [1]. |
| Prices close to outcomes | Partial | Most revenue is still a subscription per named user [1]. Flex tokens and token-based enterprise agreements move toward pay-for-use, which is the right direction for agent work, but neither is disclosed as a share of revenue [2]. |
| R&D on the gate vs features | Pass | R&D runs near 22% of revenue, and the stated priorities are the gate: the shared data platform, 3D geometry models, the cloud data model behind design, make and operate, and agent access through Platform Services [1][4]. |
3. Growth
| Measure | Value | Change |
|---|---|---|
| Fiscal 2024 revenue (year ended Jan 31, 2024) | $5,497M | +9.8%, our calculation [16] |
| Fiscal 2025 revenue | $6,131M | +11.5%, our calculation [16] |
| Fiscal 2026 revenue | $7,206M | +18% [5] |
| Twelve months ended Jul 31, 2026 | $7,790M | Our calculation [2][16] |
| Q1 fiscal 2027 revenue | $1,934M | +18%, +16% in constant currency [4] |
| Q2 fiscal 2027 revenue | $2,046M | +16%, +14% in constant currency [3] |
| Q3 fiscal 2027 revenue guide, including MaintainX | $2,125M to $2,140M | +14.7% to +15.5%, our calculation [3][16] |
| Fiscal 2027 revenue guide, including MaintainX | $8,295M to $8,345M | +15.1% to +15.8%, our calculation [3] |
| Fiscal 2026 billings | $7,771M | +30% [5] |
| Q2 fiscal 2027 billings | $1,854M | +10% [3] |
| Current remaining performance obligations, Jul 31, 2026 | $5,245M | +12%; total $7,433M, +2% [3] |
Growth accelerated from about 10% to 18% between fiscal 2024 and fiscal 2026, then began to ease: 18% in the first quarter, 16% in the second, and a guide near 15% for the third even with MaintainX included [3][4][16]. Part of the earlier lift came from a new transaction model, under which Autodesk bills customers directly and books the full price rather than the reseller's net, and part from annual billing of multi-year contracts [1].
Both are rolling out of the comparisons. Stripping roughly $34M a quarter for MaintainX, a quarter of its expected recurring revenue, the third-quarter guide implies organic growth near 13%, our estimate [3][7].
The full-year guide has risen twice, from $8,100M to $8,170M in February to $8,295M to $8,345M in August, though the August figure now includes MaintainX
4. New products and shipping pace
Autodesk ships on an annual product cycle with continuous cloud updates. The 10-K cites nearly a decade of superintelligence features built into AutoCAD, Revit, Fusion and the construction cloud [1].
Platform Services is being extended with Model Context Protocol servers so that outside developers and agent tools can read and act on design data through a standard interface [1][2].
The largest move this year was a purchase rather than a launch. On May 28 Autodesk created Autodesk Operations Solutions, which gathers Tandem digital twins, FlexSim simulation, Fusion Operations and Factory Design Utilities, and agreed to buy MaintainX to anchor it [7].
Make, led by the cloud tool Fusion, grew 26% to $244M in the second quarter [3]. The filings give no adoption counts for the newer superintelligence features.
5. Net revenue retention
Autodesk discloses retention only as a position against a band, not as a number. It measures this quarter's recurring revenue from customers it had a year ago against those customers' recurring revenue a year ago [2].
The wording moved from slightly above the band at Jul 31, 2025 to approximately the top of the band at Jul 31, 2026, which reads as a small decline. Gross retention is not disclosed.
Because Autodesk sells mostly per seat, this is the number that will first show any seat compression.
6. Free cash flow and owner cash
Owner cash has been positive in every period we track. The low year, fiscal 2024, was when Autodesk began billing multi-year contracts one year at a time instead of upfront, which pulled cash out of that year and pushed it into later ones [1].
Company free cash flow, before stock pay, was $2,409M in fiscal 2026 [5]. Autodesk does not show capitalized software as a separate cash line in the facts we pulled; its capital spending line includes the purchase and implementation of internal-use software, so we treat it as full capex [2].
Three adjustments matter. First, customer prepayments: total deferred revenue rose about $422M over the twelve months, to $4,258M, our calculation from the 11% growth the company discloses [3].
Stripping that build gives owner cash of about $1,711M. Second, the billing change has run in reverse during fiscal 2026 and 2027, as more annual installments of older multi-year contracts come due; the 10-K says the impact will continue into fiscal 2027 [1].
Third, restructuring: the January plan is expected to cost $135M to $160M, substantially all in cash during fiscal 2027
7. Acquisitions
MaintainX is the only material deal in the last 24 months. Autodesk agreed on May 28, 2026 to buy it for aggregate consideration of about $3.58B in cash, and closed on Aug 3 [6][8].
The 10-Q puts the preliminary purchase consideration at about $3.53B net of cash acquired [2]. MaintainX expects more than $135M of annualized recurring revenue for calendar 2026 [7].
It adds $150M of restricted stock for MaintainX staff [6].
Financing was mostly debt. Autodesk raised its revolving credit line from $1.5B to $2.0B, signed a $1.0B 364-day term loan, set up a $2.0B commercial paper program, and had $1.0B of commercial paper outstanding at Jul 31 [2][9][10].
It drew the full $1.0B term loan on Aug 3 at 4.58%, then on Sep 10 sold $500M of 5.05% notes due 2029 and $500M of 5.65% notes due 2033 to repay it [2][11]. The company says fiscal 2027 free cash flow includes about $45M of deal costs, and it trimmed the top of its free cash flow guide by $50M to reflect operating and financing costs of the deal
8. Risks and catalysts
Risks. Seat compression: if superintelligence lets fewer designers do the same work, per-user subscriptions shrink before token-based revenue fills the gap [1].
Integration: MaintainX is a fast-growing, mobile-first company joining a large, reseller-heavy organization in the middle of a sales reorganization [3][12]. Leverage: borrowings rose by about $2.0B in three months [9][10][11].
Comparisons: the billing change and the new transaction model lifted billings and cash in fiscal 2026, and both effects are fading [1].
Catalysts: third quarter fiscal 2027 results, expected Tuesday, Nov 24, 2026 after the close (unconfirmed; the date is a data vendor projection and the company has not announced it as of Oct 31, 2026; the last two releases came May 28 and Aug 27) [18]; the first full quarter with MaintainX revenue and its stock pay (pending); completion of the restructuring by Jan 31, 2027 (company target) [12]; general availability of the Model Context Protocol servers on Platform Services (unconfirmed timing)
9. Valuation anchor and balance sheet
Owner cash has been positive for five straight periods, so our standard allows a base value. The anchor is twelve-month owner cash of $2,133M, or about $1,711M after stripping the deferred-revenue build.
The band across the last four fiscal years runs from $579M to $1,621M, and the base would be set from the low end, $579M, which reflects the year the billing change pulled cash forward. That is deliberately harsh [16].
The Jul 31 cash balance was swollen by $1.0B of commercial paper raised ahead of the Aug 3 closing [2]. After paying about $3.53B for MaintainX and swapping the term loan for $1.0B of notes, debt stands at about $4.5B of face value, with cash and equivalents of roughly $0.6B before third-quarter cash flow and buybacks, so net debt is about $3.9B, our estimate [2][11].
Buybacks took $1,591M over the twelve months, our calculation, paid from cash while the company borrowed for MaintainX, so in effect part of the acquisition debt replaced cash spent on buybacks [2][16].
10. Superintelligence angle
Tailwind, with one real threat. Design is constrained by skilled labor, and the work that agents do well, checking drawings against codes, generating options, coordinating trades and documenting changes, happens inside Autodesk files [1].
The filings give no seat or subscription count, so retention is the only test of seat compression, and it has slipped toward the top of its band [2]. A model that understands geometry needs training data and a place to act, and Autodesk has both: decades of file formats and a cloud project record covering design, construction and now maintenance [4][7].
The threat is pricing. If a firm needs fewer licensed seats because agents do the repetitive drawing work, revenue falls unless Autodesk charges for agent work directly.
Flex tokens and enterprise token pools are built for that, but they are not yet disclosed as a share of revenue [2].
11. Leadership and control
Andrew Anagnost has been President and Chief Executive Officer since June 2017; he joined Autodesk in September 1997 and earlier worked at Lockheed Aeronautical Systems [1][14]. He owned 115,159 shares at the proxy record date [14].
Janesh Moorjani became Executive Vice President and Chief Financial Officer in December 2024, after seven years as chief financial officer of Elastic, and he also serves as principal accounting officer [1][14]. Steve Blum is Chief Operating Officer, Ruth Ann Keene is Chief Legal Officer and Corporate Secretary, and Rebecca Pearce is Chief People Officer [1].
Stacy J. Smith has been non-executive Chair since June 2018 [14].
There is a single class of common stock and no controlling holder. The proxy lists The Vanguard Group at 10.1% and BlackRock at 9.1%; all directors and officers together own less than 1% [14].
Two directors, Jeff Epstein and Christie Simons, joined in 2025 under a cooperation agreement with Starboard Value [14]. Omar Abbosh replaced the retiring Stephen Milligan in 2026
12. Questions for the owner and predictions
Question one: how much of the last twelve months of operating cash flow came from the annual-billing catch-up, and what is the clean run rate once it is complete?
Question two: when will Flex and token-based enterprise revenue be disclosed as a share of recurring revenue, so agent consumption can be measured?
Question three: what does MaintainX add to stock pay and interest each year, and when does it add to owner cash rather than subtract from it?
Question four: what conviction does the evidence support? Our answer is 3 of 5, Hold off until a trigger: a fiscal year of owner cash above $1.5B after stripping the deferred-revenue build.
Prediction one: third quarter fiscal 2027 revenue lands above $2,140M, the top of the guide (65%).
Prediction two: net revenue retention is described at or below the top of the 100% to 110% band at Oct 31, 2026 (65%).
Prediction three: fiscal 2027 free cash flow, as the company defines it, lands within or above its $2,725M to $2,750M guide (70%).
Prediction four: fiscal 2027 stock pay exceeds $750M once MaintainX grants are included (55%).
Prediction five: Autodesk discloses Flex or token consumption as a standing metric by Jan 31, 2027 (25%).
Filing notes. The MaintainX price appears three ways: about $3.58B of aggregate consideration in the 8-K, about $3.6B in the press release, and about $3.53B net of cash acquired in the 10-Q; the gap appears to be cash acquired, and we use the 8-K figure [2][6][7].
Bottom line
Autodesk owns the design file that every agent working on buildings, roads and machines will have to edit, and that gives it one of the strongest records in software. Unlike most names in this series, owners are paid: owner cash was $2,133M over the last twelve months, about $1,711M after stripping prepayments, and stock pay took only 24% of operating cash.
The risks are a debt-funded $3.58B purchase of MaintainX, a seat-based price list, and cash flows still flattered by the billing change. Our view would turn positive if owner cash holds above $1.5B without a deferred-revenue tailwind and token revenue becomes a disclosed, growing line; it would turn negative if retention falls inside the band or MaintainX keeps diluting owner cash past fiscal 2028. Our call: Hold off, conviction 3 of 5.
