eGain Is Letting Its Legacy Book Shrink 30% to Become the Knowledge Gate for Agents
Knowledge customers grew 20% to $55.1M while everything else fell 21%. The fiscal 2027 guide calls for total revenue down 5.6% to 7.3% as eGain bets that every agent will have to check its answers first.

1. Summary: what this piece answers
eGain sells knowledge management and customer service software to large contact centers. This piece asks one question: can a small company let a third of its old revenue go and come out the other side as the system agents consult before they answer a customer?
What you will learn. Fiscal 2026 revenue (year to Jun 30) rose 3.1% to $91.1M [1].
Inside that number are two companies. Revenue from what eGain calls knowledge customers, those using its knowledge hub for automation, rose 20% to $55.1M.
Revenue from everyone else fell 21% to $25.1M, and Cisco resale added $10.9M [2]. The fiscal 2027 guide is revenue of $84.5M to $86.0M, a decline of 5.6% to 7.3%, with knowledge customers rising to $59.5M to $60.5M and the rest falling 26% to 33% [2].
Owner cash was $16.4M, 18.0% of revenue, our calculation, but about $8.0M of that came from collecting receivables, so the repeatable figure is closer to $8.4M [1]. eGain has $73.3M of cash and no debt and spent $11.5M on buybacks [1].
Our view: the knowledge base is a real gate, the company is small enough that one customer is 15% of revenue, and the next year will be a shrinking year by design.
2. Thesis and the toll-gate test
| Test | Result | Evidence |
|---|---|---|
| Owns the record | Pass, narrowly | eGain hosts the approved answers, policies and procedures that agents and human staff must cite [1] |
| Owns the connection | Partial | MCP connectors let Copilot, Claude and Gemini query the eGain knowledge hub [1]; the model vendors own the conversation |
| Prices close to outcomes | Fail | 36-month contracts priced per agent or per session [1] |
| R&D on the gate vs features | Pass | R&D was $29.4M, 32.3% of revenue, focused on the knowledge hub and agent connectors [1] |
The bet is that the record matters more than the interface. If every agent from every vendor has to fetch a verified answer before it speaks to a bank customer, the source of those answers collects a toll.
eGain's MCP connectors are a bid to be that source.
3. What eGain sells
The eGain Knowledge Hub stores and governs customer service knowledge: answer pages, guided procedures, compliance-approved answers. On top sit an agent assistant for contact center staff, a self-service virtual assistant, and messaging and case tools [1].
The newer products expose that knowledge to outside agents through Model Context Protocol connectors for Microsoft Copilot, Anthropic Claude and Google Gemini [1]. Cisco resells eGain inside its contact center suite [1].
4. How it makes money, customers and pricing
Contracts typically run 36 months and are priced per agent seat or per session [1]. Concentration is high: the top ten customers are 56% of revenue and the largest is 15%, a customer that is also a partner and is not named [1].
JPMorgan Chase received a warrant for 500,000 shares on Aug 14, 2025 as part of a commercial agreement, which eGain records as a reduction of revenue [1].
5. Growth
Headline growth is 3.1% and guided to turn negative [1][2]. The knowledge book grew 20% and annual recurring revenue from knowledge customers rose 13% to $54.3M [2].
Management is choosing to stop supporting older messaging and chat products and to move those customers to the knowledge hub or let them leave [2].
6. Retention and the proxy we use
eGain does not disclose net revenue retention. Our proxy is the gap between the two books: +20% for knowledge customers against -21% for the rest [2].
The share of recurring revenue from knowledge customers is reported inconsistently: the 10-K says 63% of total ARR [1], while the release says 72% of SaaS ARR [2]. We flag this as a data gap rather than pick one.
7. Operations: costs, people and efficiency
Gross margin was 73.4% [1]. R&D was $29.4M, 32.3% of revenue, a high share for a company this size and the right place to spend if the knowledge gate is the thesis [1].
About 44% of employees are in India [1]; total headcount was not found in our pass of the 10-K, a data gap. The fiscal 2027 guide calls for adjusted EBITDA of $0.65M to $1.4M and a GAAP loss of $2M to $3M, with stock pay of about $4M [2]: margins compress while the old book runs off.
8. Cash flow and owner cash
Our calculation. We deduct the warrant because it is equity paid to a customer.
Stock pay is low, 3.1% of revenue, but rises to about $4M next year [2].
9. Balance sheet and capital allocation
eGain ends the year with $73.3M of cash and no debt [1]. It bought back $11.5M of stock, and shares outstanding fell to 26.17M from 27.08M, a 3.4% reduction [1].
Buybacks were 70% of owner cash and above the repeatable figure. With the guide implying little cash generation next year, the cash pile is the funding for the transition.
10. Acquisitions
We found no material acquisitions disclosed in the fiscal 2026 10-K; the filing carries only boilerplate accounting language on business combinations [1].
11. Superintelligence angle
Both a tailwind and the main threat. Tailwind: agents in regulated industries cannot invent answers, so a governed knowledge source becomes mandatory infrastructure.
Threat: Microsoft, Salesforce and the model vendors can build knowledge stores into their own platforms, and per-seat pricing shrinks as agents replace human staff. eGain must reprice toward sessions or resolved queries for the gate to pay.
12. Leadership and control
Co-founder Ashu Roy is chairman and CEO and owns about 34% of the shares; insiders as a group own about 37% [1]. Effective control sits with the founder.
Alignment is strong, and minority holders have little say.
13. Risks and catalysts
Risks: the unnamed 15% customer; faster decline in the legacy book than guided; Cisco OEM loss; model vendors bundling knowledge. Catalysts: fiscal Q1 2027 results, expected in early November 2026 (unconfirmed date); disclosure of agent-connector revenue; conversion of the JPMorgan relationship into a larger contract.
14. Scorecard, questions and predictions
Questions for the owner. First, who is the 15% customer, and is it the Cisco relationship?
Second, when does pricing move from seats to sessions or resolutions? Third, how much cash is the floor before buybacks stop?
Fourth, conviction on a 1 to 5 scale: our view is 2, an interesting gate in a company too small and concentrated to size up yet.
Predictions to register: fiscal 2027 revenue lands inside $84.5M to $86.0M (65%); knowledge customer revenue grows at least 8% in fiscal 2027 (65%); cash stays above $60M at Jun 30, 2027 (70%); eGain announces outcome or session-based pricing for agent connectors within 12 months (35%).
