Nutanix Handed Back Every Dollar of Owner Cash, and Customers Prepaid Two Thirds of It
Nutanix turned the VMware exodus into 15.8% ARR growth and $483.0M of owner cash in fiscal 2026. It spent $483.5M on buybacks, and $315.0M of that cash came from customers paying ahead.

1. Summary: what this piece answers
Nutanix sells the software layer that virtual machines, containers and now inference workloads run on, inside a company's own data centers and in public clouds. This piece asks one question: in fiscal 2026, the year after Broadcom repriced VMware, did Nutanix turn the migration wave into durable owner cash, or did it mostly hand cash back while customers prepaid for the future?
Here is what you will learn. Revenue grew 12.44% to $2,853.5M and annual recurring revenue grew 15.8% to $2.55B [1][2].
Operating cash flow was $916.7M. After $76.0M of capex and $357.7M of stock pay, owner cash was $483.0M, or 16.93% of revenue, our calculation [1].
In the same year Nutanix spent $483.5M on buybacks, 100.1% of owner cash, our calculation [1]. And $315.0M of operating cash, 65.2% of owner cash, came from a rise in deferred revenue, meaning customers paid ahead for multi-year subscriptions [1].
The headline net income of $1,506.8M is mostly an accounting event. Nutanix released $1,208.2M of its tax valuation allowance, which produced a $1,179.7M tax benefit [1].
Pre-tax income was $327.1M, or 11.5% of revenue [1]. Our view: the business is real and improving, but the cash that funds buybacks is leaning on prepayments, and the cash that remains once those are stripped out is smaller than the headline suggests.
2. Thesis and the toll-gate test
Our thesis is that Nutanix is becoming the default exit ramp from VMware for mid-size and large enterprises, and that the hypervisor (AHV) is a gate: once workloads run on it, moving them again is a multi-year project. The test is whether that gate is priced on outcomes and whether research spend goes into the gate rather than into features.
| Test | Result | Evidence |
|---|---|---|
| Owns the record | Partial | Nutanix holds the running state of workloads and storage, not a business record such as a ledger. Unified Storage and Database Service move it closer to the data [1] |
| Owns the connection | Pass | AHV sits between every application and the hardware; customers buy it with servers from Cisco, Dell, HPE, Lenovo and Supermicro [1] |
| Prices close to outcomes | Fail | Pricing is per core and per capacity on 3.2-year average terms, not on workloads served or uptime delivered [1] |
| R&D on the gate vs features | Pass | R&D of $790.9M (27.7% of revenue) goes to the hypervisor, external storage support, Kubernetes and the Agent Gateway that meters model calls [1] |
Two passes, one partial and one fail. The gate is real but priced like infrastructure, by capacity.
That limits upside per customer and makes growth depend on landing new workloads.
3. What Nutanix sells
Nutanix Cloud Infrastructure (NCI) is the core: the AHV hypervisor, distributed storage, Flow networking and security, disaster recovery and the Prism control plane. It runs on qualified servers from five OEMs and, since fiscal 2026, alongside external storage from Dell PowerFlex and PowerStore and Everpure FlashArray, with NetApp ONTAP in limited availability [1].
External storage support matters: it lets Nutanix replace VMware without forcing a customer to replace its storage arrays.
Nutanix Cloud Clusters (NC2) runs the same stack on AWS, Azure and Google Cloud. Nutanix Cloud Manager adds operations, self-service, cost governance and security.
Nutanix Kubernetes Platform (NKP) runs containers across the same estate, with NKP Metal in early access for bare-metal Kubernetes [1].
For superintelligence workloads, Nutanix's enterprise inference software handles fine-tuning and inference across GPUs and other accelerators, and Nutanix Agent Gateway governs how agents reach models, MCP servers and enterprise apps, with token budgets and rate limits [1]. Nutanix Unified Storage (files, objects, blocks) and Nutanix Database Service round out the data layer [1].
The company also launched an MCP server for its cloud platform during the fourth quarter [2].
4. How each line makes money, customers and pricing
Subscription revenue was $2,712.3M, 95% of the total [1]. It has two parts.
Term software licenses, recognized upfront when the software is made available, were $1,412.6M. Support, maintenance and SaaS, recognized ratably, were $1,299.7M [1].
Professional services and other were $141.3M, of which professional services were $126.6M [1]. Product gross margin was 98.6%; support and services gross margin was 73.9% [1].
The upfront part matters for reading the quarters. A large renewal or a longer contract pulls license revenue forward, so revenue can swing while ARR moves smoothly.
Average contract duration rose to 3.2 years in fiscal 2026 from 3.1 years, and to 3.3 years in the fourth quarter [1][2].
Nutanix sells mostly through channel partners and OEMs and had over 32,000 end customers at year end, after adding over 3,000 during the year [1][2]. The end-customer base grew about 11% [1]
5. Growth
| Measure | Value | Change |
|---|---|---|
| Q4 FY26 revenue | $757.1M | +15.9% [2] |
| FY26 revenue | $2,853.5M | +12.4% [1] |
| FY26 ARR | $2,548.8M | +15.8% [1] |
| Total deferred revenue | $2,423.4M | +14.7%, our calculation [1] |
| FY27 revenue guide | $3,180M to $3,230M | +11.4% to +13.2%, our calculation [2] |
| FY27 free cash flow guide | $850M to $950M | vs $840.7M in FY26 [2] |
Growth accelerated in the fourth quarter but the full-year guide implies roughly the same pace as fiscal 2026. ARR is growing faster than revenue, which is consistent with more of the book moving to subscription renewals.
6. Retention and the proxy we use
Nutanix does not disclose net revenue retention in its 10-K. Our proxy is the gap between ARR growth (15.8%) and end-customer growth (about 11%) [1].
Revenue per existing customer is rising, which is consistent with expansion inside the base, but the proxy cannot separate price from volume.
7. Operations: segments, costs, headcount and efficiency
Nutanix has a single operating segment [1]. It had about 8,350 employees at Jul 31, 2026, or $341.7K of revenue per employee, our calculation [1].
Headcount grew 3% in sales and marketing, 5% in R&D and 9% in G&A during the year [1]. On Aug 4, 2026 it announced a reduction of about 5% of the global workforce [3].
Sales and marketing still takes 40 cents of every revenue dollar. That is the cost of a channel model and of competing for VMware migrations deal by deal.
The efficiency story is gross margin holding at 86.8% while GAAP operating margin rose 2.8 points [1][2].
8. Cash flow and owner cash
Stock pay consumed 39.0% of operating cash flow, our calculation [1]. The deferred revenue build is real cash, and customers who prepay are a sign of trust.
But it is cash the company must serve over the next three years, so we treat owner cash before that build, $168.0M, as the conservative read. About $76.6M of pre-tax income came from interest on cash and short-term investments, which is not a product of the gate [1].
9. Balance sheet and capital allocation
At Jul 31, 2026 Nutanix held $777.3M of cash and $1,584.2M of short-term investments, against $1,362.5M of convertible notes: $500.0M at 0.25% due 2027 and $862.5M at 0.50% due 2029 [1]. Cash alone falls $585.2M short of the notes, our calculation; with investments the company has about $999M more than it owes.
A $500M revolver is undrawn [1].
Capital went three ways. Buybacks were $483.5M.
Taxes paid on net share settlement of equity awards were $195.5M [1]. Advanced Micro Devices bought $150.0M of new shares in May 2026 [1].
The board raised the buyback authorization by $350.0M in August 2025 and $750.0M in April 2026 [1]. Diluted weighted shares fell to 292.2M from 294.1M, our reading of the release [2].
Buybacks plus withholding taxes were $679.1M, more than owner cash, so roughly the whole buyback is offsetting stock pay rather than shrinking the company.
The 2027 notes mature within the next twelve months. Settling them from cash would be a $500.0M use of liquidity in fiscal 2027.
10. Acquisitions
No acquisitions in the last 24 months. Payments for acquisitions were zero in fiscal 2025 and 2026 [1].
11. Superintelligence angle
Mixed, leaning tailwind. Inference inside company data centers needs a governed place to run, and Nutanix's enterprise inference software plus the Agent Gateway position the hypervisor as that place, with token metering that could later support usage-based pricing [1].
The threat is that inference stacks standardize on Kubernetes and bare metal, where the hypervisor matters less; NKP Metal is Nutanix's answer and is still in early access [1].
12. Leadership and control
Rajiv Ramaswami is CEO and Rukmini Sivaraman is CFO [2]. Tarkan Maner stepped down as President and Chief Commercial Officer effective Oct 2, 2026; sales, marketing and customer experience now roll up to the CEO, and Maner signed a twelve-month advisory agreement on Oct 7, 2026 [4][5].
Nutanix retired its Class B stock in January 2022 and has one class of common stock [1]. We did not verify current 5% holders for this piece; that is a data gap.
13. Risks and catalysts
Risks: the VMware window narrows as Broadcom customers sign multi-year renewals; federal sales cycles have lengthened [1]; upfront license recognition makes quarters lumpy; the sales leadership change lands in the middle of the migration push [4]. Catalysts: fiscal Q1 2027 results, expected late November 2026 (unconfirmed date), against a $755M to $765M revenue guide [2]; general availability of NKP Metal and NetApp external storage (unconfirmed timing) [1]; settlement of the 2027 notes (confirmed maturity in 2027) [1].
14. Scorecard, questions and predictions
| Metric | Value |
|---|---|
| R&D share of revenue | 27.7% [1] |
| GAAP net margin | 52.8% headline; 11.5% pre-tax before the tax release [1] |
| API quality | 3 of 5: documented REST APIs, an MCP server, and SDKs; no public pricing or self-serve keys, our scoring |
| ARR growth | 15.8% [1] |
| Owner cash margin | 16.93%; 5.89% before the deferred revenue build, our calculation |
| Toll-gate score | 2 of 4 pass, 1 partial |
Questions for the owner. First, do you treat the deferred revenue build as owner cash or as customer float?
Second, should buybacks that only offset stock pay count as a return of capital? Third, does the sales leadership change raise the risk on the fiscal 2027 guide?
Fourth, conviction on a 1 to 5 scale: our view is 3, watch with a trigger of owner cash before deferred revenue above $300M.
Predictions to register: fiscal Q1 2027 revenue grows 12% to 16% year on year (65%); ARR growth stays at or above 14% at the next print (60%); fiscal 2027 free cash flow lands inside the $850M to $950M guide (70%); stock pay stays above 11% of revenue in fiscal 2027 (75%).
