RingCentral Booked a $541.7M Tax Benefit While Paying Down a $916.9M Term Loan
RingCentral grew Q3 subscription revenue 6.03% and earns more owner cash than GAAP EBITDA, $427.19M against $423.44M. A $541.7M valuation allowance release lifted net income to $569.7M in Q3. The cash goes to buybacks, a higher dividend and term loan payments.
| Scorecard | Read |
|---|---|
| Thesis | RingCentral is a slow-growth cash machine, and the question is whether agent products restart growth before seat counts shrink |
| What proves it wrong | Subscription growth falls below 4%, or net debt rises back above 2.5x GAAP EBITDA |
| Next catalyst | Q4 2026 results, February 2027; date not yet announced |
| Key multiple | 19.20x EV / GAAP EBITDA of $423.44M |
| Debt | $1.01B carrying: Term Loan $916.9M principal and 2030 Senior Notes $100.0M at 8.50%; $305.0M revolver undrawn |
| Stock pay | $240.06M from the cash flow line, 9.16% of revenue |
What RingCentral sells and how it gets paid
RingCentral sells cloud communications: business phone, video, messaging and contact center software. Subscription plans run monthly, annual or multi-year [1].
Q3 subscription revenue was $652.94M, up 6.03%, and other revenue was $23.10M [1]. Total revenue was $676.04M, up 5.85%.
Pricing varies by functionality and number of users. Its newer agent products, the Receptionist and the Conversation Expert, are priced on either usage or seats [1].
Subscription gross margin was 75.37% in Q3 [1]. Other revenue, mostly phones and services, is low margin.
Nine-month subscription revenue was $1,909.76M, up 5.82% [1]. Growth is steady but slow.
The tax release
Q3 had a benefit from income taxes of $541.7M, mostly from releasing a valuation allowance on US deferred tax assets [1]. Net income was $569.7M for the quarter and $639.43M for nine months.
This is accounting, not cash. It says management now expects to use past losses against future taxable income, which is a vote of confidence in profits, but it does not change cash flow.
The stockholders' deficit shrank to $12.39M from $588.12M as a result [1].
The toll-gate test
RingCentral owns the connection for voice. Every call routes through its network, and numbers are tied to its platform.

The weak point is that the record is portable by regulation. Customers can port numbers, so lock-in depends on configuration and integration.
The owner-cash staircase
Start with GAAP EBITDA of $423.44M: operating income of $196.64M plus D&A of $226.80M over the twelve months [1]. Each step down the staircase removes one thing an owner cannot spend.
Step one is operating cash flow of $699.36M, above EBITDA by $275.92M. Operating cash is well above EBITDA because stock pay, $240.06M, is a non-cash expense inside operating income, and deferred revenue brings cash forward.
Step two subtracts stock pay of $240.06M, taken from the cash flow line. That leaves $459.30M.
Stock pay is 9.16% of revenue and 34.33% of operating cash flow. Cash spent on buybacks offsets much of it.
Step three subtracts all capex of $32.12M, including capitalized software. Owner cash is $427.19M, or 16.30% of revenue and 100.88% of EBITDA.
Capex includes capitalized internal-use software of $48.64M in nine months plus equipment of $24.13M [1].

| Step | Twelve months | What the gap is |
|---|---|---|
| GAAP EBITDA | $423.44M | Operating income plus D&A |
| Operating cash flow | $699.36M | Working capital, cash taxes, interest and non-cash items |
| After stock pay | $459.30M | Stock pay treated as a real cost |
| After all capex | $427.19M | What an owner could take out |
Owner cash of $427.19M is 16.30% of revenue and slightly above GAAP EBITDA. So the multiple on owner cash is slightly below the multiple on EBITDA, the reverse of most growth software.
Balance sheet and debt, from the debt note
The Term Loan had $916.9M of principal outstanding at Sep 30, 2026. The $305.0M revolver was undrawn and is available until Sep 11, 2030 [1].
RingCentral paid $35.36M of term loan principal in nine months [1]. Total principal is $1.02B, the Term Loan plus $100.0M of 8.50% senior notes due 2030, whose fair value was $103.3M [1].

Net debt of $900.46M is 2.13x GAAP EBITDA. Series A convertible preferred stock of $199.45M sits outside debt and is a further senior claim [1].
What gets overlooked
Buybacks are large relative to growth. RingCentral repurchased $191.24M of stock across the three quarters of 2026 [1].
The quarterly dividend rose to 12.5 cents a share in Q3 from 7.5 cents [1]. Dividends and buybacks together now take most of owner cash.
Other expense, net, was $49.83M in nine months, mostly interest [1]. That is the cost of carrying the term loan.
The tax release inflates net income for 2026 and makes the price to earnings ratio meaningless this year. EBITDA and owner cash are the better bases.
Where the money goes
Sales and marketing was $282.92M in Q3, 41.85% of revenue, and grew only 0.48% [1]. RingCentral is holding selling cost flat while revenue grows 5.85%.
R&D was $88.07M, 13.03% of revenue [1]. That is low for a software company, and it is where the agent products are built.
Income from operations rose 74.95% to $53.89M in Q3 from $30.80M [1]. Flat selling cost on growing revenue is the whole margin story.
Other revenue gross profit is thin. Other revenue of $23.10M cost $20.90M in Q3 [1].
Phones and services are there to support subscriptions.
RingCentral has a single operating segment, reviewed by the CEO at the consolidated level [1]. There is no split between unified communications and contact center revenue.
Competition
The filing names a long list of competitors: carriers such as AT&T, BT, TELUS, Vodafone and Deutsche Telekom; Avaya, Mitel and Cisco; Alphabet, Meta, Oracle and Salesforce; and contact center vendors Five9, NICE, Genesys and Talkdesk [1].
The current portion of long-term debt is $48.9M of expected Term Loan principal payments [1]. Scheduled amortization is small next to operating cash flow.
Gross margin by line
Subscription cost of revenue was $160.84M in Q3 against $652.94M of subscription revenue [1]. Subscription gross margin was 75.37%, up from 75.00% a year earlier.
Other revenue was $23.10M and its cost $20.90M, down from $26.39M [1]. The filing says other revenue is mainly pre-configured phones and professional services [1].
Phones are a cost of winning the subscription, so a near-zero margin there is a choice, not a problem.
Of remaining performance obligations, the company expects to recognize 56% over the next 12 months and 44% thereafter [1]. Most contracted revenue lands within a year, which fits a renewal business.
Stock pay was $48.55M in Q1 and $51.63M in Q2 [1]. Buybacks in those quarters retired 2.55M and 2.24M shares, so repurchases are now larger than the dilution they offset.
The filing shows repurchases of $82.36M in Q1 and $92.29M in Q2 [1]. Capital return and debt paydown are running at the same time.
That is a change from the years when stock pay grew the share count every quarter.
Superintelligence risk and opportunity
Voice is where agents are moving fastest. An agent that answers the phone, books the appointment and logs the call can replace a receptionist.
RingCentral is selling exactly that, with usage pricing. If agents handle calls that humans once did, revenue moves from seats to usage.
The risk is seat compression. Fewer human agents means fewer seats, and usage revenue has to grow faster than seats shrink.
Management and capital allocation
Capital allocation is shareholder returns plus debt paydown. Buybacks, a growing dividend and term loan amortization all draw on the same owner cash.
With net debt at 2.13x EBITDA and growth near 6%, faster debt paydown would reduce interest. Management has chosen a balance.
Peers on the same basis
Peer figures come from each company's latest periodic filing [2][3][4]. Figures are derived from filed statements, and nothing here is a price view.

Zoom carries no debt and more cash, which widens its EV gap. Five9 is the closest peer in contact center software.
Bull, base and bear cases
| Case | What it needs | What it looks like |
|---|---|---|
| Bull | Agent products restart growth | Subscription growth above 8%; usage revenue disclosed and rising; net debt below 1.5x |
| Base | Growth near 6% with steady cash | Buybacks and dividend continue; leverage drifts down |
| Bear | Seat losses outrun agent revenue | Subscription growth below 4%; capitalized software rises; leverage climbs |
