AvePoint Grew ARR 27% to $465.1M With No Debt and $417.25M of Cash
AvePoint's SaaS revenue grew 27.41% in Q2 as customers move data governance to the cloud. GAAP EBITDA of $52.06M is thin against operating cash flow of $104.69M, and a tax benefit inflated net income.

| Thesis | ARR growth of 27% is carrying a business whose GAAP earnings are still thin, and cash, not EBITDA, is the better read |
| What proves it wrong | ARR growth, adjusted for currency, falls below 20% from 24%, or SaaS gross margin slips below 80% |

What AvePoint sells and how it gets paid
AvePoint sells data management software: backup, governance, security and migration for data in Microsoft 365, Google and other cloud ecosystems. It calls this the Confidence Platform [1].
Customers pay mostly through SaaS subscriptions. Some still pay for term licenses with support, and AvePoint earns services fees on migrations [1].
Q2 revenue was $124.50M, up 22.03%. SaaS was $98.51M, up 27.41%.
Term license and support was flat at $10.25M, and services grew 8.65% to $15.74M [1].

Total ARR was $465.1M, up 27%, or 24% adjusted for currency [1]. Remaining performance obligations were $559.4M, with 61% due in twelve months [1].
Growth is broad. North America grew 23.1%, Europe, the Middle East and Africa 26.6% and Asia Pacific 15.9% in Q2 [1].
AvePoint added a secondary listing in Singapore on Sep 18, 2025 [1].
Customers and channels
The largest markets are the United States at $47.38M of Q2 revenue, up 20.96%, Germany at $16.01M, up 21.27%, and Singapore at $15.06M, up 9.18% [1].
AvePoint reaches small customers through managed service providers. On Jan 29, 2025 it bought 80% of Ydentic, a multi-tenant management tool for providers that run Microsoft solutions, and agreed to purchase the remaining 20% [1].
Selling is the largest cost. Sales and marketing was $45.54M in Q2, 36.58% of revenue, up 27.31% [1].
Spend is growing as fast as SaaS revenue, so operating leverage so far comes from G&A, which fell.
AvePoint also co-sponsors a growth equity fund, A3 Ventures Fund 1, through a venture with Lumens Capital Partners [1]. It is small, but it is capital pointed outside the core business.
Margins by line
SaaS gross margin was 81.97% in Q2: $98.51M of revenue against $17.76M of cost [1].
Services nearly break even. Services revenue of $15.74M cost $15.34M to deliver [1].
They exist to move customers onto the platform, not to earn margin.
Total gross margin was 73.10% in Q2, held down by services [1]. As SaaS grows faster, the mix lifts the total margin without any price change.
The toll-gate test
AvePoint owns a record: the backup and archive copy of a customer's collaboration data. That copy is costly to move, and regulators in some sectors require it.

The weak test is the connection. AvePoint depends on access to Microsoft and other platforms, and those vendors also offer native backup and governance.
The owner-cash staircase
Start with GAAP EBITDA of $52.06M: operating income of $45.60M plus D&A of $6.45M over the twelve months [1]. Each step down the staircase removes one thing an owner cannot spend.
Step one is operating cash flow of $104.69M, above EBITDA by $52.64M. The gap is stock pay and deferred revenue.
Customers often pay annual SaaS fees up front, so cash arrives before revenue [1].
Step two subtracts stock pay of $35.39M, taken from the cash flow line. That leaves $69.30M.
Stock pay is 7.59% of revenue and 33.81% of operating cash flow. Six-month stock pay fell to $16.84M from $20.76M [1].
Step three subtracts all capex of $5.46M, including capitalized software. Owner cash is $63.84M, or 13.69% of revenue and 122.63% of EBITDA.
Capex is small: AvePoint does not capitalize software in a material way, and property purchases are light [1].

| Step | Twelve months | What the gap is |
|---|---|---|
| GAAP EBITDA | $52.06M | Operating income plus D&A |
| Operating cash flow | $104.69M | Working capital, cash taxes, interest and non-cash items |
| After stock pay | $69.30M | Stock pay treated as a real cost |
| After all capex | $63.84M | What an owner could take out |
The D&A figure here uses the cash flow statement line: $6.21M in fiscal 2025, plus $3.37M in the first half of 2026, less $3.13M in the first half of 2025
Balance sheet and debt
There is no debt. AvePoint has a loan agreement with a line of credit, but no borrowings were outstanding at Jun 30, 2026. A $9.3M sublimit of the $30.0M line backs bank guarantees that some regulated customers require [1].
Cash was $417.25M. EV of $3.07B subtracts that cash [1].
Cash came partly from warrant exercises in 2025, which added both cash and shares [1].
What gets overlooked
Net income is inflated by tax. Q2 had an income tax benefit of $15.56M, which includes $19.9M from releasing a valuation allowance on deferred tax assets [1].
That is a one-off. Q2 net income of $27.57M is more than double operating income of $10.22M.
Other income includes fair value changes on earn-out and warrant liabilities and currency gains [1]. These swing net income without touching the business.
Buybacks offset dilution. AvePoint retired 10.28M shares in six months under a $150M program renewed on May 5, 2026 [1].
Currency matters. North America was $48.71M of Q2 revenue, 39.13% of the total, so most sales are earned in other currencies [1].
Term license revenue is the line to watch for drift. It was flat in Q2 but fell to $19.56M in six months from $23.40M [1], as customers convert to SaaS.
Superintelligence risk and opportunity
The opportunity is direct. Agents need access to company data, and companies need to control what agents can see.
AvePoint is extending its governance layer to agent workflows and new enterprise applications [1].
Agents also create data of their own: drafts, logs and copies. Each adds to the volume a customer must back up and govern.
The risk is that Microsoft and other platforms build governance for their own agents natively. A customer that runs most work in one ecosystem may not need a third party.
Management and capital allocation
CEO Tianyi Jiang runs the company with CFO James Caci [1]. Capital goes to buybacks and organic growth, and the balance sheet carries no debt.
Operating income doubled to $22.95M in six months from $10.38M [1]. Management is showing it can grow revenue in the twenties while widening margins.
Peers on the same basis
Peer figures come from each company's latest periodic filing [3][4][5]. Figures are derived from filed statements, and nothing here is a price view.

AvePoint carries a higher EBITDA multiple than Box, Docusign and Pegasystems, and grows faster than all three. On operating cash flow the gap narrows.
AvePoint's GAAP EBITDA margin is 11.17%, while operating cash flow is 22.46% of revenue. That gap is why the EBITDA multiple runs far ahead of the cash multiple.
Bull, base and bear cases
| Case | What it needs | What it looks like |
|---|---|---|
| Bull | Agent governance becomes a budget line and ARR keeps compounding | ARR growth above 25% in constant currency; operating margin above 15% |
| Base | ARR growth slows gradually from 24% in constant currency | ARR growth near 20%; SaaS mix rises; margins widen slowly |
| Bear | Platform vendors bundle native governance | ARR growth below 20%; term license declines faster; services margin turns negative |
Catalysts and what to watch
Q3 results come Thursday, Nov 5, 2026, after the close, with a call at 4:30 p.m. ET [6].
Watch ARR growth in constant currency, SaaS gross margin and whether the tax rate normalizes.
Watch sales and marketing as a share of revenue. If it stays near 36.58% while SaaS grows in the twenties, operating margin widens only slowly.
Watch the mix between SaaS and services. Services margin near zero means faster migration work lifts revenue but not profit.
Watch the effective tax rate after the valuation allowance release. Future quarters will carry a more normal tax charge, so net income will look weaker even if operations improve.
Watch buybacks against the $150M program, and any new agent governance products tied to revenue.
