Lesaka's Consumer and Enterprise Lines Grew 49% and 76% While Merchant Fell 3%
Lesaka is a South African fintech serving merchants and social grant recipients. Fiscal 2026 revenue grew 9% to $721.55M, but the mix shifted: Consumer and Enterprise grew fast while Merchant shrank on lower airtime sales.

What Lesaka does and how it gets paid
Lesaka runs financial services in South Africa through three divisions: Merchant, Consumer and Enterprise [1].
Merchant provides payment acceptance, software, cash management, lending and prepaid products to merchants. It served about 132,000 active merchants at Jun 30, 2026 [1].
Consumer provides banking, lending and insurance, principally to recipients of social welfare grants. It had about 2.1M active consumers, about 89% of them permanent grant beneficiaries [1].
Enterprise provides payment processing, prepaid products and bill payment, and connects more than 650 billers and over 50 corporate clients [1].
Fiscal 2026 revenue was $721.55M, up 9% from $659.70M [1]. The mix changed sharply.

Merchant revenue fell 3% to $509.34M because of fewer prepaid airtime sales, partly offset by Adumo and more pinless airtime and gaming volume [1]. Airtime is booked at gross value, so lower airtime volume cuts revenue more than profit.
Consumer grew 49% to $142.63M and Enterprise 76% to $74.73M
Where the profit sits
Segment Adjusted EBITDA tells the real story. Merchant earned $35.53M on $509.34M of revenue, a 6.98% margin.
Consumer earned $46.19M on $142.63M, a 32.38% margin [1].
Enterprise earned $8.12M on $74.73M, a 10.87% margin [1]. Consumer, a fifth of revenue, is the largest profit pool.
That is why the mix shift matters more than total growth. Each dollar moved from airtime to consumer lending raises group margin.
Built by acquisition
Lesaka assembled the platform through deals: Connect Group in April 2022, Adumo in October 2024 and Recharger in March 2025 [1].
The proposed acquisition of Bank Zero was signed in June 2025 and still depends on conditions precedent [1]. A banking license would let Lesaka fund lending with deposits instead of bank borrowings.
The toll-gate test
Lesaka passes the connection test better than most software companies. Grants land in its accounts, and merchants keep cash in its vaults.

The weak test is R&D. Lesaka spends on physical infrastructure more than on software, which makes the moat operational rather than technical.
The owner-cash staircase
Start with GAAP EBITDA of $60.03M: operating income of $12.68M plus D&A of $47.35M over the twelve months [1]. Each step down the staircase removes one thing an owner cannot spend.
Step one is operating cash flow of $52.44M, below EBITDA by $7.58M. Operating cash is below EBITDA because of interest and working capital, including loan book growth.
Net interest was $19.2M in fiscal 2026, up from $16.9M [1]. The prior year's operating cash flow was negative $9.12M [1].
Step two subtracts stock pay of $6.97M, taken from the cash flow line. That leaves $45.48M.
Stock pay is small at 0.97% of revenue, the lowest in this coverage.
Step three subtracts all capex of $25.05M, including capitalized software. Owner cash is $20.43M, or 2.83% of revenue and 34.03% of EBITDA.
All capex here is $20.65M of equipment, mostly vaults and POS devices, plus $4.40M of capitalized development booked as acquisition of intangible assets [1].

| Step | Twelve months | What the gap is |
|---|---|---|
| GAAP EBITDA | $60.03M | Operating income plus D&A |
| Operating cash flow | $52.44M | Working capital, cash taxes, interest and non-cash items |
| After stock pay | $45.48M | Stock pay treated as a real cost |
| After all capex | $20.43M | What an owner could take out |
Balance sheet and debt, from the debt note
Borrowings are in rand. Long-term borrowings were ZAR 3.5B, or $210.71M, at Jun 30, 2026, plus short-term facilities of $20.67M [1].
The long-term debt sits under Facility G and Facility H agreements with RMB, with collateral held by a guarantor company [1]. Covenants require Lesaka SA to keep specified net debt to EBITDA and interest cover ratios [1].
Net debt to Group Adjusted EBITDA fell from 2.9x at the start of the fiscal year to 1.9x at the end [1]. On GAAP EBITDA of $60.03M, net debt of $149.97M is 2.50x.
Finance loans receivable, the consumer and merchant loan books, were $103.81M current, up from $74.11M [1]. All consumer microloans are for nine months or less [1].
What gets overlooked
Group Adjusted EBITDA excludes items that GAAP EBITDA keeps. The gap between the two is large, so leverage looks lower on the company measure than on GAAP.
Lesaka found errors in the historical VAT treatment of certain gaming voucher transactions in Merchant and corrected them by revising earlier statements. Its review is ongoing [1].
The IFC Investors held 8,430,676 shares and have a put right that can require Lesaka to repurchase them on specified triggering events [1]. That is a contingent cash claim.
Net income attributable was $2.76M, against a loss of $90.96M a year earlier [1]. The swing reflects prior-year one-offs as much as operations.
Currency translation affects every number. A weaker rand lowers dollar revenue even when rand growth holds [1].
What the mix shift is worth
Segment Adjusted EBITDA across the three divisions totaled $89.84M before corporate costs [1]. Consumer alone was 51.41% of it.
If Consumer and Enterprise keep growing while Merchant stays flat, group margin rises each year without price increases. That is the core operating case.
The cost is credit risk. A rand of Consumer revenue carries loan losses that a rand of airtime does not, and current finance loans receivable grew 40.08% in a year [1].
Merchant still matters for scale. Its 132,000 merchants are where cash vaults, POS devices and merchant loans are sold, and Adumo widened that base [1].
Superintelligence risk and opportunity
Lending to grant recipients is a data problem. Lesaka's own customer relationship engine, Bonngwe, drove consumer growth [1].
Better models on the same data would cut losses and widen who can borrow.
The risk is low for the physical layer. Vaults, cash collection and POS devices do not get replaced by software agents.
The larger risk is competition from banks and mobile money providers that deploy agents for service at lower cost per customer.
Management and capital allocation
Ali Mazanderani has been Executive Chairman since Feb 1, 2024. He co-founded and chairs Teya, a European fintech. Dan Smith is Group CFO [1].
Capital has gone to acquisitions and debt reduction. The board approved a $15M buyback authorization on Sep 2, 2025, replacing an older $100M one [1].
Peers on the same basis
Peer figures come from each company's latest periodic filing [2][3][4]. Figures are derived from filed statements, and nothing here is a price view.

Lesaka trades at the lowest EBITDA multiple in this group. Part of that is country risk, part is the rand, and part is a GAAP margin of 8.32%.
Bull, base and bear cases
| Case | What it needs | What it looks like |
|---|---|---|
| Bull | Bank Zero closes and Consumer keeps compounding | Consumer above 25% of revenue; net debt below 1.5x company EBITDA; owner cash above $50M |
| Base | Mix shift continues at a slower pace | Revenue growth in mid single digits; margin widens slowly; leverage stays near 2x |
| Bear | Credit losses rise or grant policy changes | Loan book provisions jump; Consumer growth stalls; leverage rises above 2.5x |
Catalysts and what to watch
Q1 fiscal 2027 results come Wednesday, Nov 4, 2026, after the US close, with a call on Nov 5 at 8 a.m. ET [5].
Watch Consumer revenue and loan provisions, net debt to EBITDA, and any update on Bank Zero conditions.
Watch the VAT review. Any further revision to Merchant revenue would change the base the mix story is built on.
