Rubrik Owns the Recovery Point but Staff Take More Than Holders Keep
Rubrik's subscription revenue is growing a third a year, but stock pay still exceeds the cash the business generates.
- Cash left for shareholders after capex, capitalized software and all stock pay
- -$55.6M
- Stock pay as a share of revenue
- 22.2%
- Voting power held by Class B holders
- 83%

1. Our call: Hold off, because Rubrik holds the last clean copy of customer data but pays its staff more than holders keep
Our call: Hold off. Rubrik sells software that backs up a company's data, keeps a copy attackers cannot change, finds threats inside that data and restores systems after a ransomware attack [1].
It sells mostly subscriptions to Rubrik Security Cloud, its hosted platform, and has added tools that watch and roll back the actions of software agents [1][3].
Second quarter fiscal 2027 revenue, the quarter to Jul 31, 2026, rose 37.9% to $427.3M from $309.9M, our calculation [2]. Subscription annual recurring revenue rose 32.6% to $1,660.9M, our calculation [2].
The company raised fiscal 2027 guidance to revenue of $1,685M to $1,693M, growth of 28.0% to 28.6% on fiscal 2026's $1,316.2M, our calculation [3][8].
We measure owner cash, the cash left for shareholders: operating cash flow, less purchases of property and equipment, less capitalized software, less all stock pay. On that measure Rubrik lost $892.3M in fiscal 2025, the year of its listing, lost $91.5M in fiscal 2026 and lost $55.6M over the twelve months to Jul 31, 2026, our calculation from SEC XBRL [8]
2. Research spending is close to three tenths of revenue
| Metric | Value |
|---|---|
| R&D share of revenue | 28.4%, $373.7M on $1,316.2M, fiscal 2026, our calculation [8]. 29.7% in the second quarter of fiscal 2027 [2] |
| GAAP net margin | Minus 26.5%, a $348.8M loss on $1,316.2M, fiscal 2026, our calculation [8] |
| Stock pay share of revenue | 25.0% in fiscal 2026, 21.4% in the six months to Jul 31, 2026, our calculation [8] |
| API quality | 4 of 5, our scoring: one hosted platform with documented interfaces that partners and agent developers plug into, and agent controls sold as add-ons on the same platform [1][3] |
| Toll-gate score | 2 of 4 pass, 1 partial, 1 fail (section 2b) |
2b. Rubrik owns the recovery point, competitors still own much of the backup market
When ransomware locks a company's systems, the company needs a copy of its data that the attacker could not reach or change, and a way to bring it back quickly [1]. Rubrik built its product around that copy.
It now extends the idea to software agents, recording what an agent did so a company can undo it [3].
| Test | Result | Evidence |
|---|---|---|
| Owns the record | Pass | Rubrik holds an unchangeable copy of customer data across data centers, cloud and software services, plus the identity settings it restores after an attack, which is the record a company recovers from [1][3]. |
| Owns the connection | Partial | The 10-K names Commvault, Dell EMC, IBM, Veeam and Cohesity as backup rivals, plus security vendors in threat detection and identity recovery, so customers have other places to keep the copy [1]. |
| Prices close to outcomes | Fail | Customers buy term subscriptions, and recurring revenue is counted from total contract value, not from recoveries completed or attacks stopped [2]. |
| R&D on the gate vs features | Pass | R&D rose 37.7% to $126.9M in the second quarter, our calculation, and new products in the period sit on the gate: agent identity, agent rollback and identity recovery from the Strata.io purchase [2][3]. |
Two passes, one partial and one fail. The record pass is the core of the bull case.
A company can switch backup vendors, but it rarely does so after it has years of clean copies and recovery drills built on one platform [1]. The fail on pricing matters for holders because a subscription price set at signing does not rise when Rubrik saves a customer from a costly attack [2].
3. Growth is fast and still near 30%
| Measure | Value | Change |
|---|---|---|
| Fiscal 2023 revenue | $599.8M | Year to Jan 31, 2023 [8] |
| Fiscal 2024 revenue | $627.9M | +4.7%, our calculation [8] |
| Fiscal 2025 revenue | $886.5M | +41.2%, our calculation [8] |
| Fiscal 2026 revenue | $1,316.2M | +48.5%, our calculation [1][8] |
| Fiscal 2027 guidance | $1,685M to $1,693M | +28.0% to +28.6%, our calculation [3][8] |
Reported revenue overstates the pace in some years. Rubrik moved customers from appliances and perpetual licenses to subscriptions, which pulled revenue recognition around, and it books revenue from customer credits it calls material rights [1][3].
Material rights added $4.7M of revenue in the second quarter against $14.2M a year earlier, and the company says revenue rose 43% without them [3].
Subscription recurring revenue is the cleaner measure. It rose 32.6% to $1,660.9M, and hosted cloud recurring revenue rose 39.3% to $1,482.7M, our calculation [2].
Fiscal 2027 guidance for subscription recurring revenue is $1,880M to $1,885M [3].
The third quarter guide shows the pace slowing. Revenue of $429M to $431M against $350.2M a year earlier implies growth of 22.5% to 23.1%, our calculation [3][8].
4. Big customers keep adding, but retention has eased
Rubrik had 3,084 customers paying $100,000 or more a year in subscription revenue at Jul 31, 2026, up 23.1% from 2,505, our calculation [2]. The 10-Q puts average subscription net retention, which compares recurring revenue from the same customers a year apart, at over 119% against over 120% a year earlier [2].
A rate near 120% means existing customers spend about a fifth more each year, which is strong for security software [2]. A bull would note the slip is one point.
It is still worth watching because the company sells more products to the same buyers, and that is where most growth now comes from [2][3].
Rubrik had about 3,797 full-time employees at Jan 31, 2026 [1]. Brian McCarthy, president of global sales, resigned effective Feb 6, 2026, and Jesse Green, president of the Americas, became chief revenue officer [6].
5. Margins are improving, but losses remain
GAAP gross margin was 78.4% in the second quarter against 79.5% a year earlier [3]. The operating loss narrowed to $71.9M from $94.5M and the net loss to $61.8M from $95.9M [8].
The company's own subscription contribution measure rose to 14.0% from 9.4% [3].
The fiscal 2026 net loss was $348.8M, after $1,154.8M in fiscal 2025, a year swollen by stock pay recognized at the listing [8]. Rubrik's accumulated deficit reached $3,289.8M, and total stockholders' deficit was $499.4M at Jul 31, 2026 [2].
The gap between the company's view and ours is stock pay. Rubrik's adjusted figures add it back, and it guides to an adjusted profit for fiscal 2027 [3].
We treat stock pay as a cost because it is paid to staff in shares that dilute holders [8].
6. What shareholders kept is still negative
| Period | Operating cash flow | Capex and capitalized software | Stock pay | Cash left for shareholders |
|---|---|---|---|---|
| Fiscal 2025 | $48.2M | $26.6M | $913.9M | Minus $892.3M, our calculation [8] |
| Fiscal 2026 | $282.9M | $45.1M | $329.4M | Minus $91.5M, our calculation [1][8] |
| Six months to Jul 31, 2025 | $104.4M | $13.5M | $162.0M | Minus $71.0M, our calculation [8] |
| Six months to Jul 31, 2026 | $158.5M | $19.3M | $174.4M | Minus $35.2M, our calculation [2][8] |
| Twelve months to Jul 31, 2026 | $337.1M | $50.9M | $341.8M | Minus $55.6M, our calculation [2][8] |
The company's free cash flow, which does not subtract stock pay, was $139.3M in the six months to Jul 31, 2026, and it guides fiscal 2027 free cash flow to $323M to $333M [2][3]. That guide sits about level with twelve-month stock pay of $341.8M, so on our measure what shareholders kept would land near zero for the year, our calculation [3][8].
Operating cash flow leans on customers paying up front. Deferred revenue added $84.5M to operating cash flow in the six months, against $165.9M a year earlier [2].
If growth slows, that support shrinks with it [2].
7. No buybacks, and the share count keeps rising
Rubrik discloses no share repurchases in its filings [8]. Diluted weighted shares rose to 206.1M in the second quarter from 194.9M a year earlier, up 5.7%, our calculation [8].
The company also paid $53.3M in the six months to cover taxes on staff shares that vested [8].
The balance sheet is strong for now. Cash and short-term investments were $1,747.6M at Jul 31, 2026, our calculation [2].
Against that sit $1.15B of convertible notes with no interest, due Jun 15, 2030, issued in Jun 2025 with capped calls bought for $88.6M to limit dilution if holders convert [2].
Acquisitions are paid partly in stock. Rubrik bought Predibase, a developer platform for open-source models, in Jul 2025 for $109.1M, and bought Strata.io in the latest half [3][4].
Cash paid for acquisitions was $24.2M in the six months to Jul 31, 2026 [8].
8. The main risks are stock pay, rivals and control
Stock pay: at 22.2% of trailing revenue, stock pay is larger than the cash the business generates, so holders are diluted every year even as adjusted profit improves, our calculation [8].
Rivals: Commvault, Dell EMC, IBM, Veeam and Cohesity already hold backup budgets in many large companies, and security vendors are moving into data recovery and identity restore [1]. A rival that bundles backup with a security platform could press Rubrik's prices [1].
Control: Class B shares carry 20 votes each, and Class B holders held about 83% of the vote at Jul 31, 2026 [2]. At Mar 31, 2026, chief executive Bipul Sinha held 25.2% of the vote, co-founder Arvind Jain 21.1%, chief technology officer Arvind Nithrakashyap 19.7% and Lightspeed entities 18.0% [4].
Revenue accounting: credits, migrations and material rights move reported revenue, and the 10-K says these factors make revenue hard to forecast [1]. Holders should watch subscription recurring revenue rather than reported revenue [2].
9. A fast-growing company that has not yet paid for its staff
Rubrik is in its growth stage. Revenue rose 48.5% in fiscal 2026, is guided up about 28% in fiscal 2027, and the company still posts GAAP losses [3][8].
Fiscal 2025, the year it listed, carried $913.9M of stock pay, most of it on awards that vested at the listing [8].
Three choices define this stage. The company moved all customers to subscriptions, raised $1.15B in convertible notes in Jun 2025, and spends close to three tenths of revenue on research [1][2][8].
It has not used buybacks to offset dilution [8].
The test for this stage is whether growth turns into cash that holders keep. If cash left for shareholders turns positive for a full fiscal year while subscription recurring revenue still grows 25% or more, the business has crossed over; if stock pay keeps pace with free cash flow, it has not [3][8].
10. Agents make the recovery point more valuable
The bull case is that software agents will change data and settings inside company systems at a speed no person can check, so companies will need a trusted copy to roll back to and a log of what each agent did [3]. Rubrik's agent products sell exactly that, on the platform customers already use for backup [3].
The bear case is that agent controls will come from identity, security and cloud vendors that customers already pay, and that Rubrik's agent products stay a small add-on [1]. Net retention easing from over 120% to over 119% gives no sign yet that agent products are lifting spending [2].
The test sits in numbers Rubrik already discloses. If agent products matter, net retention should climb back above 120% and the count of $100,000 customers should keep growing above 20% [2].
If they do not, subscription recurring revenue growth will fall toward the third quarter's 23% revenue pace [3].
11. Founders and Lightspeed control the vote, with a board drawn from Palo Alto Networks, Cisco and Qualcomm
Bipul Sinha, co-founder, chief executive since Jan 2014 and chairman since Jul 2016, has also been a venture partner at Lightspeed Venture Partners since Jan 2014, after serving there as a partner, and sat on the Nutanix board [4]. Co-founder Arvind Nithrakashyap, chief technology officer and a director, worked at Rocket Fuel and Oracle [4].
Chief financial officer Kiran Choudary, in the role since Nov 2020, came from Atlassian and Goldman Sachs [4]. Jesse Green became chief revenue officer in Feb 2026 [6].
Lead independent director John Thompson, a former Symantec chief executive, sat on the Microsoft board from 2012 to 2023 and chaired Illumina, and he has been a Lightspeed venture partner since May 2018 [4]. Ravi Mhatre co-founded Lightspeed, shares voting power over its Rubrik stake and sat on the Nutanix and Mulesoft boards [4].
That puts three of eight directors, as of the proxy, in roles tied to Lightspeed [4].
Asheem Chandna, a Greylock partner, sat on the Palo Alto Networks board until 2022. Greylock received Rubrik shares worth $33.8M when Rubrik bought Predibase, a related-party deal the board approved
12. The questions we would ask management, and the calls we are tracking
Question one: when will free cash flow exceed stock pay for a full fiscal year? [3][8]
Question two: why does third quarter revenue guidance imply 23% growth when subscription recurring revenue is growing 33%? [2][3]
Question three: what share of new recurring revenue came from agent and identity products in the quarter? [3]
Question four: will the board use buybacks to offset dilution before the 2030 notes come due? [2]
Question five: how many customers moved from a rival's backup to Rubrik in the year, and from whom? That answer sets our conviction.
Prediction one: fiscal 2027 subscription recurring revenue lands at or above $1,880M, the bottom of the guide (75%). [3]
Prediction two: fiscal 2027 cash left for shareholders, as we define it, is still below zero (60%).
Bottom line: Rubrik owns the recovery point, but staff still take more than holders keep
Rubrik's subscription recurring revenue grew 32.6%, net retention sits over 119%, and its unchangeable copy of customer data is a real gate that agents make more valuable [2][3]. Cash left for shareholders was still minus $55.6M over the twelve months to Jul 31, 2026, stock pay ran at 22.2% of revenue, and founders and Lightspeed control the vote [2][4][8].
We would move to Buy if cash left for shareholders turns positive for a full fiscal year while subscription recurring revenue grows 25% or more. Net retention below 115% or share growth above 6% would move us toward Avoid.
Our call: Hold off, conviction 3 of 5.
